These terms apply to all users, clients, collaborators, and site visitors.<\/p><h4>\u00a0<\/h4><h4>2. <strong>Services Provided<\/strong><\/h4><p>Digitoral Media Productions specializes in video production, post-production, podcast creation, and media content development. Our offerings include but are not limited to:<\/p><ul><li><p>One-camera and multi-camera shoots<\/p><\/li><li><p>Audio capture and editing<\/p><\/li><li><p>Event and wedding videography<\/p><\/li><li><p>Post-production and color grading<\/p><\/li><li><p>Licensing and ownership transfer of raw and edited footage<\/p><\/li><\/ul><h4>\u00a0<\/h4><h4>3. <strong>Booking &amp; Payment Terms<\/strong><\/h4><ul><li><p>A <strong>50% deposit<\/strong> is required to reserve a shoot date.<\/p><\/li><li><p>All deposits must be paid <strong>at least 72 hours prior<\/strong> to the shoot.<\/p><\/li><li><p><strong>Final balance<\/strong> is due upon delivery of the final project unless otherwise agreed in writing.<\/p><\/li><\/ul><h4>\u00a0<\/h4><h4>4. <strong>Cancellation &amp; Rescheduling Policy<\/strong><\/h4><ul><li><p>Cancellations made <strong>72+ hours<\/strong> in advance are eligible for a full refund of the deposit.<\/p><\/li><li><p>Cancellations made <strong>between 48\u201372 hours<\/strong> prior to the shoot will result in <strong>a 50% cancellation fee<\/strong> (50% of the deposit).<\/p><\/li><li><p>Cancellations made <strong>less than 48 hours<\/strong> prior to the shoot are <strong>non-refundable<\/strong>.<\/p><\/li><li><p><strong>Rescheduling<\/strong> is allowed with at least <strong>48 hours&#8217; notice<\/strong>, and 100% of the deposit will be applied to the new date.<\/p><\/li><\/ul><h4>\u00a0<\/h4><h4>5. <strong>Footage Ownership &amp; Licensing<\/strong><\/h4><h5>A. <strong>Edited Content<\/strong><\/h5><ul><li><p>Clients purchasing video services receive a <strong>license to use the final edited content<\/strong> for promotional or personal use.<\/p><\/li><li><p>Copyright remains with Digitoral unless a written transfer is executed.<\/p><\/li><\/ul><h5>B. <strong>Raw Footage<\/strong><\/h5><ul><li><p>Raw footage is <strong>not included<\/strong> by default in service packages.<\/p><\/li><li><p>A separate <strong>Raw Footage License or Ownership Transfer Agreement<\/strong> must be executed for access to or ownership of raw materials.<\/p><\/li><li><p>Ownership transfer of raw footage may incur additional fees and is governed by a stand-alone agreement.<\/p><\/li><\/ul><h4>\u00a0<\/h4><h4>6. <strong>Usage Rights<\/strong><\/h4><p>Unless otherwise agreed in writing:<\/p><ul><li><p>Digitoral reserves the right to use any footage or edited work for portfolio, promotional, or internal purposes.<\/p><\/li><li><p>Clients may not resell, re-edit, or redistribute our content commercially without proper licensing.<\/p><\/li><\/ul><h4>\u00a0<\/h4><h4>7. <strong>Credit &amp; Attribution<\/strong><\/h4><p>We appreciate, though do not require, client credit for edited content as follows:<br \/><strong>\u201cVideo by Digitoral Media Productions\u201d<\/strong>.<\/p><h4>\u00a0<\/h4><h4>8. <strong>Venue &amp; Subject Releases<\/strong><\/h4><ul><li><p>Clients are responsible for obtaining consent or releases from event participants unless otherwise agreed.<\/p><\/li><li><p>If filming in public or private venues, a <strong>Venue Release Agreement<\/strong> must be signed by the property owner or event organizer. Digitoral will also post signage indicating that recording is taking place.<\/p><\/li><\/ul><h4>\u00a0<\/h4><h4>9. <strong>Limitation of Liability<\/strong><\/h4><p>Digitoral Media Productions is not liable for:<\/p><ul><li><p>Loss or damage of footage due to technical failure, theft, or acts of nature.<\/p><\/li><li><p>Any indirect, incidental, or consequential damages arising from your use of our services or media.<\/p><\/li><\/ul><h4>\u00a0<\/h4><h4>10. <strong>Indemnification<\/strong><\/h4><p>Clients agree to indemnify and hold Digitoral Media Productions harmless from any claims, damages, or legal expenses arising from the use or distribution of footage, particularly raw footage transferred under a licensing or ownership agreement.<\/p><h4>\u00a0<\/h4><h4>11. <strong>Governing Law<\/strong><\/h4><p>These Terms are governed by the laws of the <strong>State of New York<\/strong>, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts of New York City, NY.<\/p><h4>\u00a0<\/h4><h4>12. <strong>Modifications to Terms<\/strong><\/h4><p>Digitoral reserves the right to update these Terms of Service at any time. Changes will be posted on this page with an updated effective date.
